Netflix Becomes Top Contender in Major Hollywood Studio Entertainment Assets Acquisition Bid

High-stakes talks are now underway between Warner Bros Discovery and the streaming behemoth for a potential sale of its core studio and streaming operations, a move that could profoundly reshape the entertainment industry landscape.

An Intense Bidding War

The leading streamer is said to be competing against other industry titans like a rival studio and the cable giant, the owner of Universal Studios and Sky, for ownership of the iconic Hollywood institution, the premium HBO network, and the HBO Max streaming platform.

According to reports Netflix has proposed a substantial breakup fee of £3.7 billion should the deal not obtain antitrust approval in the US.

The Offer Picture

As the company's stock currently trading at about $24, its total market valuation is estimated at around $60bn. Reports suggest the bid on the table is between $28 to $30 per share, which suggests a total bid value in the neighborhood of $70bn to $75bn.

Industry experts have cautioned that this consolidation could raise significant competition issues, as it would combine two of the most dominant subscription platforms in the American market.

Assurances and Strategic Moves

In its proposal, Netflix has reportedly given guarantees that the Warner Bros film studio, behind major franchises like Batman and Harry Potter, would continue to enjoy broad cinema distribution.

Prior to any potential deal closing, Warner Bros Discovery is expected to complete a pre-arranged separation of its linear TV networks, which include TNT, TBS, and CNN.

An Entertainment Powerhouse

A successful acquisition, the buyer would gain ownership of HBO, the maker of critically acclaimed hits including Game of Thrones, Succession, The Sopranos, and The White Lotus, plus an extensive library of beloved TV series.

The studio officially began its auction in October following overtures by multiple suitors.

Industry Concerns

The potential sale has not been without controversy. Acclaimed filmmaker James Cameron, director of Titanic and the Avatar series, recently warned that a Netflix acquisition could lead to a "significant erosion of long-term value" for the broader entertainment industry.

At first, Paramount had been considered the leading candidate. The company had also offered a $5bn termination fee contingent on approval issues.

Allegations of an Uneven Playing Field

This week, Paramount argued in a letter that its offer was the most likely to gain government approval. Additionally, the studio alleged Warner Bros of running an "biased sales process" that unduly benefited its competitor, labeling it "compromised" in legal correspondence.

Representatives for all companies involved have declined to comment on the current talks.
